Section 10: Intellectual Property, Liability, and Disputes

10.1 Our Intellectual Property
The Zelencio name, logo, software, interface design, documentation and all related material belong to 360 Logistics Limited and are protected by intellectual property law. You receive a limited, personal, revocable, non-transferable licence to use the platform for its intended purpose. You may not copy, modify, distribute, sell, licence, frame or create derivative works from any part of it.
10.2 Your Content
You keep ownership of what you post to the community feed, trade chats and support conversations. By posting, you grant us a worldwide, royalty-free licence to host, store, display and distribute that content for the purpose of operating and moderating the platform. You confirm you have the right to post it. We may remove content that breaks our rules or the law, and may retain copies where an investigation or a legal obligation requires it.
10.3 The Service Is Provided As Is
To the fullest extent permitted by law, the platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability. We do not warrant that the platform will be free of errors, that data will always be accurate, or that it will always be reachable.
10.4 Limitation of Liability
To the fullest extent permitted by law, Zelencio and 360 Logistics Limited are not liable for:
- Losses caused by the price movement of any digital asset.
- Losses caused by you sending funds to a wrong address or over a wrong network.
- Losses caused by you sharing your credentials, or by phishing and social engineering.
- Losses caused by a blockchain fault, fork, congestion, reorganisation or a failure of a third-party network.
- Losses caused by a counterparty in a P2P or escrow deal failing to perform.
- Indirect, incidental, special, punitive or consequential loss, including lost profit or lost opportunity.
Where liability cannot lawfully be excluded, our total aggregate liability to you for all claims is limited to the total service fees you paid to Zelencio in the three months before the event giving rise to the claim.
10.5 Force Majeure
We are not liable for failures caused by events beyond our reasonable control, including natural disasters, war, civil unrest, epidemics, government action, power or internet failure, or the failure of a blockchain or a third-party provider.
10.6 Indemnity
You agree to indemnify and hold harmless 360 Logistics Limited, its directors, employees and agents from any claim, loss, liability or cost, including reasonable legal fees, arising from your breach of these Terms, your misuse of the platform, your violation of any law, or your infringement of another person’s rights.
10.7 Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings you agree to raise the matter with our support team and to attempt a good-faith resolution for at least thirty days. Disputes that remain unresolved are subject to the exclusive jurisdiction of the competent courts of Nigeria. You bring claims individually and not as part of a class action.
10.8 Entire Agreement
These Terms, together with the Privacy Policy, Risk Disclosure, AML Policy, Cookie Policy, Refund and Finality Policy, Restricted Jurisdictions Policy and Custodial Wallet Disclosure, form the entire agreement between you and 360 Logistics Limited regarding the platform, and replace any earlier version of these documents.
